How to formalise your lending business with the DGII

The real process to get your RNC as a persona física in the Dominican Republic, when you actually need an SRL, and what an informal lender gains (and loses) by formalising.
Formalising as a lender does not mean founding a regulated finance company: for the vast majority, it means getting an RNC as a persona física, something free that you can start today from your phone. The most common mix-up is thinking you need a company, a minimum capital, or a special licence to "lend money" as an activity. There is no specific licence for the informal lender at DGII: what exists is the general economic activity registration, and that is what this article walks through step by step.

The first decision: persona física or persona jurídica
Before any paperwork, decide under which legal form you will operate. For most lenders starting out on their own, the right answer is persona física (individual):

For someone lending their own money, with no partners, the persona física route is the simplest and the most common. The persona jurídica route makes sense once the business grows, partners are involved, or you want your house and personal savings legally separated from the portfolio's risk.
On the Registro Mercantil for a persona física, DGII itself frames it as something that "for now will not be required on a mandatory basis": in other words, today you do not need it to register your RNC as a persona física, but it is a condition that can change, so confirm the current requirement when you register.

The step-by-step process for persona física
This is what DGII asks of a persona física today, without requiring a Registro Mercantil:

If you decide to incorporate a company (SRL)
The official portal formalizate.gob.do describes the general formalisation process in eight steps, which mainly applies when you choose a corporate structure:
- Define the business's trade name.
- Specify the commercial activity (in your case, lending/financial services).
- Choose the legal structure (SRL, EIRL or another).
- Set the initial capital.
- Create an account on the relevant portal.
- Complete the online forms.
- Verify all data and documents.
- Pay the applicable fees, depending on the structure chosen.
Unlike a persona física, here you do need the Registro Mercantil issued by your province's Chamber of Commerce and Production, plus the bylaws and partner data, before you can register for the RNC as a persona jurídica.

Are you required to formalise in order to lend money?
Here is an important legal nuance many informal lenders do not know: the obligation to pay tax comes from the income you generate, not from whether you are registered with the RNC. The Dominican system establishes that anyone with a "vocación para pagar impuestos" (i.e. who generates taxable income) must register. Not registering does not free you from the tax obligation on the interest you charge: it only leaves you in a harder spot if DGII detects the activity, because you have no way to back up your income or expenses.

What does NOT change by formalising
Formalising does not turn you into a financial entity regulated by the Banking Superintendency, nor does it let you report directly to the credit bureaus (TransUnion, Data-Crédito): that requires a separate affiliation contract, normally reserved for regulated financial institutions. Frequently asked questions
Can I declare "lending activity" as my economic activity at DGII? Yes, it is a valid economic activity to declare on the registration form. Check DGII's economic activity catalogue or ask the Virtual Office for guidance if you are unsure which code fits your case best.
Do I need an accountant to formalise? For the basic persona física registration it is not essential, the process is designed to be done alone. It is worth having one once you start filing the annual IR-1 and, if volume grows, the IR-17 for withholdings: ongoing compliance is where an accountant actually saves you time and mistakes.
Does formalising as a persona física force me to charge ITBIS? Not on the interest you charge: interest is a financial service exempt from ITBIS (Article 344 of Law 11-92), whether you are formalised or not. See the detail in Does an informal lender pay taxes?.
